# TERMS AND CONDITIONS
Welcome to CyberLink Security. These Terms and Conditions govern your access to and use of our website, services, and any related offerings. By engaging our services or accessing this website, you agree to be bound by these terms.
## 1. Definitions
"Company" refers to CyberLink Security and its affiliates.
"Client" refers to any individual or entity engaging our services.
"Services" includes incident response, penetration testing, security engineering, and consulting.
"Deliverables" means reports, assessments, and materials provided to Client.
## 2. Services and Scope
2.1 All services are provided pursuant to a separate Statement of Work (SOW) or Master Services Agreement (MSA).
2.2 Penetration testing and security assessments are conducted only with explicit written authorization from asset owners.
2.3 Incident response engagements are subject to rapid deployment terms and emergency service provisions.
2.4 Scope modifications require written agreement from both parties.
## 3. Client Obligations
→ Provide accurate and complete information necessary for service delivery.
→ Obtain all necessary authorizations for testing activities on systems and networks.
→ Designate authorized points of contact for communications.
→ Maintain confidentiality of all Deliverables and findings.
→ Comply with all applicable laws and regulations.
## 4. Confidentiality
✓ All engagement details, findings, and Deliverables are treated as strictly confidential.
✓ Information is protected under NDA provisions standard to all engagements.
✓ Confidential information will not be disclosed to third parties without written consent.
✓ Exceptions apply only where required by law or court order.
## 5. Intellectual Property
5.1 Client retains ownership of all pre-existing intellectual property and data.
5.2 Company retains ownership of proprietary tools, methodologies, and frameworks.
5.3 Deliverables are licensed to Client for internal use upon full payment.
## 6. Limitation of Liability
! Services are provided "as is" without warranty of complete vulnerability discovery.
! Company liability is limited to the fees paid for the specific engagement.
! Company is not liable for indirect, incidental, or consequential damages.
! Client assumes responsibility for remediation decisions and implementation.
## 7. Indemnification
Client agrees to indemnify and hold harmless CyberLink Security from any claims, damages, or expenses arising from: (a) Client's breach of these terms; (b) unauthorized use of Deliverables; (c) failure to obtain proper authorizations; or (d) Client's violation of applicable laws.
## 8. Payment Terms
→ Payment terms are specified in the applicable SOW or MSA.
→ Invoices are due within 30 days unless otherwise agreed.
→ Emergency incident response may require prepayment or retainer.
→ Late payments accrue interest at 1.5% per month.
## 9. Termination
9.1 Either party may terminate with 30 days written notice.
9.2 Immediate termination permitted for material breach.
9.3 Client remains liable for services rendered prior to termination.
9.4 Confidentiality obligations survive termination indefinitely.
## 10. Governing Law and Disputes
These terms are governed by the laws of Ireland. Any disputes shall be resolved through:
1. Good faith negotiation (30 days)
2. Mediation under ICC rules
3. Binding arbitration in Dublin, Ireland

✓ Unauthorized access attempts are prohibited and monitored.
